TRUST DEED FOR COSMAKA GRAMMAR SCHOOL
This DEED OF TRUST is executed this Thursday, 20th October,2015 by KABONA COSMAS,acting as the proprietor, grantor and Trustee (which expression wherever the context so requires or admits shall mean and include all his successors,executors,administrators and assigns).
GRANTOR`S DECLARATION OF MARRIAGE: The Grantor and trustee, living as a single man, is free from any restrictions, obligations and encumbrances at the time of this instrument.
GRANTOR`S KINSHIP NARRATIVE: KABONA COSMAS, the son of William Bahiire Baranyanka and Josephine Kadogwe Barakanfitiye Mukombanya of Kibalangulo,Mityana,is a brother of (i) Kimbowa Isack of Nayise,Mityana (ii) Ssekyanzi Paul of Nansana,Wakiso (iii) Edward Kasumba Friday of Kibalangulo,Mityana (iv) Ssekate Joseph of Kibalangulo,Mityana (v)Nabakooza Aida of Kibalangulo,Mityana (v) Kakooza Godfrey of Kibalangulo,Mityana and Sserugo Kalooli of Kibalangulo, Mityana. He is also a member of the extended families of (i) Maria Tuyaga Rujiri of Malyowe Gomba (ii) Emanuel Barisihira of Maddu,Gomba (iii) Andereya Bachanamu Nfayokuleka of Ndimulaba,Bukuya (iv) Mulengera Munyakarama of Maddu,Gomba (v) Nalongo Bisekwa Ntibitangiira of Ndekuyamukungu,Mityana (vii) Matilda Ndayahande of Luwero,Luwero (viii) Kabona Ruth Musisi of Mwera,Wakiso (ix) Ben Ntigacyiika Muyombana of Kyamanyori,Mityana, and (x) Mikayiri Mitunu of Mabibi, Mityana; all of whom,consistent with African kinship interdependence, shall be associated with the trust for their intellectual,motivational and educational growth. Kabona Cosmas is a resident of Kabowa,Lubaga,in Kampala city.
THE TRUST: The following shall constitute the Trust declaration , as amended from time to time.
ARTICLE 1
1.1 NAME: The trust hereby established by the “proprietor” above named is under the style and name of COSMAKA GRAMMAR SCHOOL REVOCABLE LIVING TRUST,a revocable trust that will become irrevocable after his death. The name COSMAKA is derived from two words COSMAS for COSMA… and KABONA for KA. COSMA-KA is a shorted word from COSMAS KABONA,the name of the proprietor.
1.2 NATURE OF THE TRUST: Cosmaka Junior School is a privately owned and managed primary school situated at Kibalangulo village,Kalangaalo sub-county,Mityana district.The Trust is an educational entity intended to provide quality and affordable education to the general public.
ARTICLE 2
2.1 DECLARATION OF TRUST: KABONA COSMAS, called the grantor, declares that he has transferred and delivered to the trustee all his interest in the property described here-under as; One acre of land, with developments comprising of a five classroom block building, a six stanza toilet, a one residential house, clear compound with trees, flowers and a temporary fence. All of that property is called the “trust property.” The trustee hereby acknowledges receipt of the trust property and agrees to hold the trust property in trust, according to this Declaration of Trust. The grantor may add property to the trust.
2.2 REGISTRATION OF TRUST PROPERTY: The property of the trust shall be registered in the names of the Grantor, during his lifetime, and thereafter be transferred into the names of the successor Managing trustee and any three other successor trustees of this trust.
2.3 GRANTOR`S RIGHT TO HOMESTEAD: If the grantor’s principal residence is held on the trust land, the grantor has the right to possess and occupy it for life, rent-free and without charge except for maintenance and related costs and expenses. This right extends to his children,grand children and great grand children.
2.4 OBJECTIVES OF THE TRUST : The trust intends to widen the scope of community life through provision of quality and affordable education. Its objectives shall be any or all of the following:
(a) To run a primary school institution at Kibangulo,Mityana,Uganda
(b) To increase school attendance by establishing this school near the target community
(c) To give professional education to children in the community of Kibalangulo and the general public.
(d ) To conduct primary school learning based on the curriculum that is consistent with the National curriculum development center of Uganda
(e) To employ the resources arising therefrom to provide an education that is consistent with the cultural values, ability and personality of the learners .
(f) To provide an environment conducive to holistic learning.
2.5 BENEFICIARIES OF THE TRUST : The trust shall benefit the Grantor ,his family, trustees and all humanity without discrimination.
2.6 SOURCE OF TRUST FUNDS: Any of the following means shall constitute the sources of funds for the trust. (a) The funding of all the pioneer establishments as described in this instrument was done by the Grantor from his other income sources. (b) The education in the school shall be provided against a fee or fees. (c) The Managing trustee may fund-raise from friends and well-wishers. (d) The Grantor of this trust may continue to contribute to the trust from his other sources of income subject to his earnings
ARTICLE 3
3.1 MANAGEMENT OF THE TRUST: The business and affairs of COSMAKA GRAMMAR SCHOOL shall be managed by the trustee who shall be the top most custodian of the trust.The Trustee has designated himself as the Managing Trustee and the Chief Executive Officer of this trust. The Trustee shall direct, manage and control the business of the trust to the best of his ability and shall have full and complete authority ,power and discretion to make any and all decisions and to do any and all things which he deems to be reasonably required in light of his business objectives. Consistent with this responsibility, all concerns expressed from any organs, parents and other community members to any officer and staff of the trust shall be referred to the Managing trustee for review and action. No organ, staff,parent or community member shall be mandated nor expected to perform managerial or administrative duties that belong to the Managing trustee.
3.2 INCAPABILITY OF THE MANAGING TRUSTEE DUE TO DEATH OR SICKNESS: When the Managing Trustee is unable to manage the School Trust due to sickness or death, his responsibilities shall be taken over by (i) his legal heir,as Managing Trustee (ii) all his children,as successor Trustees (iii) his brother Ssekyanzi Paul,as successor trustee (iv) his brother Kimbowa Isack, as successor Trustee (v) his brother Kakooza Godfrey,as successor Trustee (vii) his sister Nabakooza Aida,as successor Trustee (viii) his brother Ssekate Joseph,as successor Trustees (ix) his brother Edward Kasumba Friday,as successor Trustee.The collective name for the Successor Managing trustee and all other successor Trustees shall be ” Board of Trustees”. Consistent with the fact that the Managing trustee is the Chief Executive officer and the topmost custodian of the trust, all concerns expressed from any organs, parents and other community members to any successor Trustee, will be referred to the successor Managing trustee for review and action.
3.3 When the successor Managing trustee is unable to manage the school trust due to sickness or death,his legal heir shall take over his responsibilities as successor managing trustee.Such a successor Managing trustee shall have to be a paternal relative of the founder trustee in blood, clan and African family lineage. Such a hereditary process shall remain in place for all future managing trustees. Any prospective successor managing trustee unwilling to take over his responsibilities when required to do so shall have his responsibilities taken over by his child,brother or brother`s child with similar specified qualities.
3.4 When any of the reigning successor trustee becomes incapacitated by sickness or death, his or her legal heir, or any of his or her children shall take over his or her responsibilities as successor trustee. Such a successor trustee shall have to be a paternal relative of the founder trustee in blood, clan and African family lineage. Such a hereditary process shall remain in place for all future successor trustees. Any prospective or successor trustee unwilling to take over his responsibilities when required to do so shall have his responsibilities taken over by his child,brother or his brother`s child of similar specified qualities.
3.5 Where a successor trustee is designated posthumous or becomes incapacitated during the lifetime of the founder trustee,and there arises any roles to be played by such prospective trustee,his responsibilities shall be taken over by his legal heir or any of his children. Such a heir or a child shall be deemed the prospective successor trustee of the school trustee.The trustee succession criteria described of other prospective trustees shall equally apply to this prospective successor trustee.Any prospective or successor trustee unwilling to take over his responsibilities when required to do so shall have his responsibilities taken over by his child,brother or his brother`s child of similar specified qualities.
3.6 MEETINGS OF THE BOARD OF TRUSTEES
Where the context so admits and allows,there shall be Board of Trustee Meetings, all of which called by the Managing Trustee and attend by trustees only.The managing trustee shall chair all such meetings. The meetings shall not be so regular. The ordinary Meetings of the Board of Trustees shall not be more than two in a year. The Managing trustee shall call a special meeting at his own will or after a petition by any three successor trustees whenever need arises. The quorum shall be established by the presence of 80% of the members. Decisions shall be deemed to have been taken when a vote taken, is won by a simple majority of the members present,who constitute a quorum of 80 %.
3.7 MANAGEMENT FEE FOR MANAGING TRUSTEE: The Managing trustee shall be entitled to allowances for the services rendered to the trust commensurate with the value of such services.
3.8 MANAGEMENT FEE FOR SUCCESSOR TRUSTEES: All successor trustees shall be entitled to compensation for the services rendered to the trust commensurate with the value of such services.
ARTICLE 4
PROJECT PATRON; TEACHING STAFF; AND NON-TEACHING STAFF: The school trust shall have a Patron, teaching and non-teaching staff, all of whom appointed by the managing trustee on such terms and conditions as contained in the provisions of this trust deed and their letters of appointment. Consistent with the fact that the Managing trustee is the Chief Executive officer and the topmost custodian of the trust, all concerns expressed from any organs, parents and other community members to the patron, teaching and non-teaching staff, shall be referred to the Managing trustee for review and action.
ARTICLE 5
ORGANS OF THE TRUST: The Board of trustees and the Board of Governors shall be the only recognized administrative organs of the trust.
5.1 BOARD OF TRUSTEES: The successor Managing trustee and all successor trustees of this trust,shall collectively be referred to as the Board of trustees. The Board of trustees,during its time, shall be the topmost custodian organ of the school trust. The Board of trustees shall not be in existence during the lifetime of the Grantor and pioneer managing trustee.
5.2 GOVERNING BOARD: There shall be a Governing Board,comprised of The Managing trustee as chairman,the Patron as vice chairman, all prospective or successor trustees as members, the headmaster as secretary, the deputy headmasters as members, one staff representative as member and one Parent representative as member, all of whom appointed by the Managing trustee in accordance with the provisions of this Trust Deed and on such terms and conditions as contained on the application and appointment forms. The collective name for the Governing Board Membership shall be ” Board of Governors”. Consistent with the fact that the Managing trustee is the Chief Executive officer and the topmost custodian of the trust, all concerns expressed from any organs, parents and other community members to any Governing Board member, shall be referred to the Managing trustee for review and action.
5.3 APPOINTMENT OF GOVERNING BOARD MEMBERS: The Managing Trustee shall hold the membership of the Governing Board throughout the time he is a Managing Trustee of this trust .The prospective or successor Trustees shall hold membership of the Governing Board throughout the time they are prospective or successor trustees of this trust.The Pioneer Project patron shall hold membership of the Governing Board throughout his lifetime and thereafter the most senior successor trustee in age shall become the project patron and vice chairman of the Governing Board. The headteacher and deputy headteachers shall be appointed as members of the Governing Board.The headteacher and deputy headteachers shall hold membership of the Governing Board for only that time they are holding those positions of headteacher and deputy headteacher of the school trust.The staff representative shall be appointed from the staff of the school trust.The staff representative shall not hold membership of the Governing Board for more than one year. The staff representative may be re-appointed if the Managing trustee finds it appropriate.The Parent representative shall be appointed from the current parents of the school and shall not hold membership of the Governing Board for more than one year. The Parent representative may be re-appointed if the Managing trustee finds it appropriate. Consistent with the fact that the Managing trustee is the Chief Executive officer and the topmost custodian of the trust, all concerns expressed from any organs, parents and other community members to any officer and staff of the trust will be referred to the Managing trustee for review and action.
5.4 INAUGURATION OF THE GOVERNING BOARD: The Managing trustee shall welcome the appointed Governing Board members by having them recite and sign an oath of allegiance to the school trust.
5.5 BOARD OF GOVERNORS ALLOWANCES: Members of the Board of Governors shall be entitled to sitting allowances for each Board Meeting they attend. A board meeting whose business continues into another successive day or days shall be treated as one for purposes of this allowance.
5.6 MEETINGS OF THE BOARD OF GOVERNORS
The Governing Board shall have one Ordinary meeting in a year called and chaired by the Managing trustee. The Managing trustee shall call a special meeting at his own will or after a petition by any three Governing Board members whenever need arises.The quorum shall be established by the presence of 80% of the members. Decisions shall be deemed to have been taken when a vote taken, is won by a simple majority of the members present,who constitute a quorum of 80 %.
5.7 MEETINGS OF THE TEACHING STAFF
The Managing trustee, shall delegate the headmaster to hold teaching staff meetings. Such meetings shall focus on the administration of learning in the school trust. The considerations or resolutions of the teachers meetings shall be forwarded without being requested for to the Managing trustee. The matters there-arising may be presented to the Governing Board if necessary for further consideration.

5.8 STAFF-PARENTS MEETINGS
The Managing trustee shall delegate the headmaster to hold teacher-parents meetings whenever required at such terms and conditions as he may determine from time to time.
ARTICLE 6
6.1 BOOKS OF ACCOUNTS: The Managing trust shall maintain complete and accurate Books of Account of the Trust affairs at the trust`s principal place of business or his preferred location.
6.2 HOLDING OF TRUST FUNDS: The Managing trustee shall hold in trust all money, securities and other property and apply it in such a manner as he shall determine for the benefit of the trust and the advancement of education in the School trust.
6.3 APPLICATION OF NET MONEY : If at any time the Managing trustee in his opinion feels that he has fulfilled the requirements of the Trust, the Net Money shall be paid to or used for the benefit of the grantor, the managing trustee, or successor trustees where applicable. Income to the grantor shall be paid atleat annually. Income accruing or paid to the Grantor`s personal accounts shall be deemed to have been paid to the grantor and shall be held by him for the benefit of himself and any other person, group of persons or organ of his wish.
6.4 TRUST BANK ACCOUNT: The Managing trustee shall operate a bank account for the trust where he is the sole signatory during his life time and thereafter,the Successor Managing trustee shall be the signatory.
ARTICLE 7
7.1 USE OF TRUST PROPERTY : The Managing trustee shall control the occupation and use of the Trust Property during such time or times as the Trust Property shall not be in use or required for the purposes of the School and (without prejudice to the generality of the above provisions) may use the Trust Property or allow it to be used for promoting ,aiding or furthering in any manner the educational or other community work in the area on such terms and conditions as he, from time to time, think fit.
7.2 APPLICATION OF TRUST PROPERTY : The Managing trustee may sell, mortgage lease or otherwise dispose of the Trust property or any part of it and any other property held for the purposes of this deed in any manner and apply the money in paying and discharging all encumbrances, liabilities and responsibilities contracted or occasioned in the execution of the duties of this trust for the benefit of the trust and the advancement of education in the school trust .
ARTICLE 8 TRUST AWARDS : The Managing trustee,mindful of the available financial resources,may give partial or full school fees exception to certain categories of learners for a particular period of academic period, under the following considerations;
(a) Needs-based Bursaries: Where some learners are enrolled with school fees exemption ,aware that, without such school fees assistance, such children would otherwise not be able to access Cosmaka Junior School Education services.
(b) Excellence-based Bursaries: Where talented learners making reasonable contributions in academics,music,dance,drama and sports are considered for partial or full school fees exemptions.
(c) Hardship-based Bursaries: Where learners whose parents` financial circumstances drastically change whilst the child is already in school are considered for partial or full school fees exemption.
(d) Local community-based Bursaries:Where children of parents who have been residents of Kibalangulo (the location of the trust) for more than twenty years by the time of the establishment of this trust may be considered for partial or full school fees exemption if they show need.
(e) Trustee family-based Bursaries: Where immediate or extended family members of the trustees may be considered for partial or full school fees exemption.
ARTICLE 9 SUPPORT SCHEMES: Friendly categories of the community shall be encouraged by the Managing trustee to love, advise and trust the school trust.
(a) House of Cosmaka: The grantor and his family, both immediate and extended, shall morale boost the school trust under the banner of “House of Cosmaka Junior School”
(b) Friends of Cosmaka: All manner of observable enthusiasts of the school trust shall be encouraged to continue doing so under the banner of “ Friends of Cosmaka Junior school”
(c) Association of Old students: All former students of the school trust shall be deemed to have informally associated into “ The Old Students of Cosmaka Junior School” with a view to morale boost their former school.
(d) Parents Association: All current and former parents of the School Trust shall be deemed to have informally associated into “ The Parents association of Cosmaka Junior School” with a view to keeping high the spirit of Cosmaka Junior school.
(e) Community of Cosmaka: The House of Cosmaka, Friends of Cosmaka, Old Students of Cosmaka ,Parents of Cosmaka and the Students of Cosmaka Junior school, shall all be collectively referred to as “ The Community of Cosmaka Junior school” for support and mobilization purposes.
ARTICLE 10
14 INTERPRETATION The clause headings do not form part of this deed and shall not be taken into account in its interaction or interpretation.
ARTICLE 11
Severability of Clauses
If any provision of this Declaration of Trust is ruled unenforceable, the remaining provisions shall stay in effect.
ARTICLE 12
AMENDMENT OR REVOCATION BY OTHER PERSON
The power to revoke or amend this trust is personal to the grantor. No other person shall do it on behalf of the grantor, unless the grantor specifically grants a power to revoke or amend this trust in a Durable Power of Attorney. This Trust Deed will become irrevocable upon the death of the Grantor and Founder trustee.
ARTICLE 13
DISSOLUTION:
In the event of dissolution of the Trust, the entire Trust funds shall be realized
and first be used for payment of liabilities of the Trust. The assets left if any, shall be disbursed to the grantor or, in case of the Grantor absence due to death, distributed in any manner, to his children, brothers and grand children only.
ARTICLE 14
Certification of Grantor I certify that I have read this Declaration of Trust and that it correctly states the terms and conditions under which the trust property is to be held and managed, and I approve the Declaration of Trust.

Statement of Main Terms and Conditions of Employment
Cosmaka Grammar school Teaching Staff
2.1 Employer: Your employer is Cosmaka Grammar school. Cosmaka Grammar school is a privately owned and managed institution. It is located at Kibalangulo in Mityana district. The proprietor of Cosmaka Grammar school is also the Chief executive Officer of this institution ( Which role shall extend to all his line successors, in the context that allows and admits) . The business and affairs of Cosmaka Grammar school are managed by the Chief Executive officer as the topmost custodian of the school. Consistent with this responsibility, all concerns expressed from any organs,staff, parents and other community members to the teaching and non-teaching staff, shall be referred to the Chief Executive officer for review and action. The school is in the process of being registered as a private school in Uganda.

exclusively to the interests of the business and throughout the period of your
employment shall take all reasonable steps to preserve and protect the
property, goodwill and reputation of the employer and shall do nothing to
damage the image of the employer.
2.3 Location: Your employment will be based at……………………………………………. but you may be required to work at any other premises occupied by the employer which is within a reasonable commutable distance from your current workplace for temporary periods as directed by the employer. You will be provided reasonable notice of the change depending on the circumstances.
2.4 Confidentiality: Both during the period of your employment and thereafter, you shall not disclose to any person or make use of, for your own benefit or for the benefit of any other person, any trade secret or confidential information of the
Employer unless you have obtained the written consent of the Employer or
such use or disclosure is required for the proper performance of your duties.
2.5 Hours of work: Your hours of work shall be as specified in the application and appointment documents but you may be available for any additional hours of your choice if such hours are necessary for effective fulfillment of your professional duties. However, such additional time shall not be computed for purposes of additional payment.
2.6 Remuneration: You will receive each month the salary due to you for the full duties you have performed only. Salary shall be paid from the date of assumption of full duties up to and including the last day of performance of full duties. The employer may deduct from the salary any money owed by you to the employer.

2.7 Holidays: No salary shall be paid to you during, or for the time covering the holiday periods. You will not be expected to do school work during these closure periods. The school holiday period will coincide with holiday periods indicated in the school year calendar by the education controlling body of the Government. You will be notified by the Headteacher of term and holiday dates in advance of the beginning of each school year.
2.8. Sickness or Injury: If you are absent from work by reason of sickness or injury, you must notify the employer as soon as possible on the first day of your absence and keep the Employer regularly informed of the situation and the likely duration
of the absence until you return.
(i) The absentee sick teacher will be paid up to one month of absence but the affected person may ask the employer to extend to two months or three, depending on the gravity of the sickness. The employer is not obligated to extend this period.
2.9. Termination of employment: Either the employer or you, the employee may terminate the employment by notice in writing of two months.
(i) The employer may, among other reasons, terminate the employment, due to violation of one or more of the terms of the agreement, inadequacy of teaching, misconduct by the employee, neglect of duty, physical or mental incapacity, conduct tending to reflect discredit upon the school; and or inadequacy of funds to pay the staff.
(ii) The Employer may at his discretion at any time including during any period of
notice given by either party amend your duties and/or suspend you from the
performance of your duties and/or exclude you from any premises of the Employer
and/or the Employer’s clients’ premises and/or require you to work from home.
(iii) The Employer reserves the right to terminate your employment without notice in circumstances of, in his view, gross misconduct.
(iv) A teacher whose employment is terminated before the end of his employment period shall be paid for only that time during which he has performed full duties. Such a teacher shall be paid up to the last day of service or employment indicated on the termination notice.
2.10 Grievance and disciplinary procedures: Grievances relating to your employment shall be first reported to your employer before any other outside considerations. All grievances will be treated as strictly confidential and will not be disclosed to others in the school unless you wish it. When the employer is unable to resolve the grievance, the aggrieved shall be advised to sick for external attention.
2.11 Right to hold Personal Data
As part of your conditions of employment, you give the Employer permission to
collect, retain and process information about you, such as age, sex, ethnic origin
and health records. This information will be used by the Employer for a number of
purposes, including but not limited to monitoring the Employer’s compliance with
the law and best practice. Should your personal circumstances change, you must notify the Employer immediately.

(v) Duties: Your duties shall be to hold and exercise as delegated by the Chief executive officer, the roles of;
discussing and passing policies governing the running of the institution,
safeguarding the property and staff of the institution,
safeguarding the objectives and interests of the institution,
approving appointment of staff,
discussing and approving the budget of the institution.
2.3 Execution of duties: All Board related services shall be executed in group (board) not on individual basis. Patience shall be required for all matters until such a time when they are handled by a fully constituted ordinary session or special session of the board meeting.
2.4 Double or multiple membership: A person serving as a member on the Board or any committee of any other school is not allowed to serve on the Board of Cosmaka Grammar School.
2.5 Non-interference: The Board members shall not interfere the Staff and the Chief Executive Officer in the Day-to-day running of the institution.
2.6 Remuneration: Membership on the Board of Cosmaka Junior School is fully voluntary. No salary shall be earned for serving on the Board of Cosmaka Grammar School. Members shall be given sitting allowance only. Sitting allowance shall be meant to cater for the food and transport allowance.Transport component shall be Commensurate with the amount of money used by that member in transport expenses from his known home to the institution by public means.
2.7 Board meetings: The Board shall sit once a year or for additional emergency meetings (extraordinary meetings). The Board of Governors can always seat if the majority of the members are present.
2.8 Technical matters: If there is any matter requiring professional and technical knowledge, it will be decided by relevant technical and professional people. The Chief Executive Officer will therefore from time to time invite such people into the Board meeting
2.9 Confidentiality: Both during the period of your service and thereafter, you shall not
